Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Rollout, a service operated by Netsafe Solutions ("Rollout", "we", "us"), governing your access to and use of soundcloudrollout.com and the Rollout application (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Rollout helps you publish your own audio tracks and metadata to your own SoundCloud account, including scheduling and artwork handling. Rollout is an independent tool and is not affiliated with, endorsed by, or sponsored by SoundCloud, Microsoft, or Google.
2. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the security of your sign-in method and for all activity under your account. You must provide accurate information and promptly update it.
3. Your content & the rights you grant
You retain all ownership of the audio, artwork, and metadata you submit ("Your Content"). You represent and warrant that you own or have all necessary rights, licenses, and permissions to Your Content and to publish it to SoundCloud, and that Your Content does not infringe or violate any third-party rights or any law.
You grant Rollout a limited, non-exclusive, worldwide license to host, process, transmit, and publish Your Content solely to provide the Service at your direction (including uploading it to your SoundCloud account). This license ends when you delete Your Content or close your account, except to the extent it has already been published to SoundCloud or must be retained by law.
4. Acceptable use
You agree not to use the Service to: (a) upload or publish content that is infringing, unlawful, defamatory, or that you lack the rights to; (b) violate SoundCloud's, Microsoft's, or Google's terms; (c) attempt to gain unauthorized access, disrupt, reverse engineer, or overload the Service; or (d) use the Service for any unlawful, harmful, or abusive purpose. You are solely responsible for what you publish.
5. Third-party services
The Service depends on third-party platforms (SoundCloud, Microsoft, Google, Microsoft Azure) that are governed by their own terms and privacy policies. We do not control and are not responsible for those services, their availability, their acceptance or rejection of uploads, or any changes they make. Your use of them is at your own risk and subject to their terms.
6. Fees
Portions of the Service may be offered for a fee. Any pricing, billing terms, and refund policy will be presented to you before you incur a charge and are incorporated into these Terms. Taxes are your responsibility unless stated otherwise.
7. Intellectual property
The Service, including its software, design, and trademarks, is owned by Netsafe Solutions and its licensors and is protected by law. Except for the limited right to use the Service under these Terms, no rights are granted to you.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, that uploads will succeed, or that SoundCloud will accept, retain, or not remove any content. You use the Service at your own risk.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETSAFE SOLUTIONS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR CONTENT, ARISING OUT OF OR RELATED TO THE SERVICE. Our total aggregate liability for all claims relating to the Service will not exceed the greater of the amounts you paid to us in the twelve (12) months before the claim, or USD $100.
10. Indemnification
You agree to defend, indemnify, and hold harmless Netsafe Solutions, its affiliates, and their personnel from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms or to protect the Service or others. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
12. Governing law & disputes
These Terms are governed by the laws of the State in which Netsafe Solutions is established, without regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located there, except where prohibited by applicable law.
13. Changes
We may modify these Terms from time to time. Material changes will be indicated by the "Last updated" date and, where appropriate, additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
